These Terms of Service ("Terms") govern your access to and use of the Intake platform and services. By creating an account, accessing, or using Intake, you agree to be bound by these Terms. If you do not agree, do not use the service.
Intake (operated by Intake, a Washington limited liability company located at 2935 W Dean, Spokane, WA 99201) provides a software-as-a-service platform for service businesses to manage appointments, work orders, point-of-sale transactions, and customer relationships ("Service"). When these Terms say "Intake," "we," "us," or "our," we mean the company. When they say "you" or "your," we mean the individual or entity using the Service.
These Terms form a binding agreement between you and Intake. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.
You must be at least 18 years old and able to form a binding contract to use Intake. The Service is intended for businesses, not individual consumers, and is not directed at children.
You are responsible for everything that happens under your account, including all content posted, all bookings created, and all charges incurred. Keep your password secure. Notify us promptly at legal@intake.works if you suspect unauthorized access.
You may invite team members or staff to access your account under team-member permissions. You remain responsible for their actions on the Service.
Intake offers a 14-day free trial on a selected plan. No credit card is required to start. At the end of the trial, you may subscribe to continue using the Service or your account will pause automatically. Paused accounts retain all data for 90 days before deletion.
Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current rate for your plan. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds for unused time.
We may change plan pricing with at least 30 days advance notice via email. If you do not agree to a price change, you may cancel before it takes effect.
Subscription fees are billed in advance and are non-refundable except as required by law or expressly stated in these Terms. We offer a 14-day money-back guarantee on your first paid subscription period — request a refund within 14 days of your first charge via legal@intake.works and we will process it.
Payments are processed by Stripe, Inc. ("Stripe"). When you submit payment information, you are agreeing to Stripe terms of service in addition to these Terms. Intake does not store full payment card numbers on our servers.
Intake itself charges no transaction fees on bookings or sales processed through the Service. Standard payment processor fees (typically 2.9% + 30 cents per transaction in the United States) are charged by Stripe or PayPal and are not within Intake control.
You retain all ownership rights to the content you submit to Intake — your service catalog, customer records, appointment data, branding, and any other content you upload ("Your Content"). We do not claim ownership of Your Content.
You grant Intake a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, modify, and display Your Content solely to operate and improve the Service, provide support, and comply with legal obligations. This license ends when you delete the content or close your account, except where retention is required by law or for legitimate audit purposes.
You represent that you have all rights necessary to submit Your Content, that it does not infringe any third-party rights, and that its collection and use complies with applicable law (including obtaining any necessary consents from your own customers).
You may export Your Content at any time via the Service export tools. Upon account closure, we retain Your Content for 90 days for reactivation and then permanently delete it unless a longer retention period is required by law.
Your use of the Service is governed by our Acceptable Use Policy, available at /acceptable-use, which is incorporated into these Terms by reference. The Acceptable Use Policy includes restrictions on the types of businesses and activities permitted on Intake.
You may not: reverse-engineer, decompile, or attempt to extract source code; resell, sublicense, or commercially exploit the Service except as expressly permitted; use the Service to send spam, phishing, or unsolicited communications; interfere with the Service operation, security, or other users access; or use the Service in violation of law.
We may suspend or terminate your account for material violations of these Terms or the Acceptable Use Policy. Where practical we will provide notice and an opportunity to cure; for severe violations (illegal activity, payment fraud, harm to other users) suspension may be immediate.
The Service, including all software, design, text, graphics, logos, and the "Intake" name and marks, is owned by Intake or its licensors and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes, subject to these Terms. This license does not include any right to copy, modify, or distribute the Service code or design.
We strive for high availability but the Service is provided "as is" and we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any feature of the Service at any time. For material changes that adversely affect your use, we will provide at least 30 days advance notice when reasonably possible.
Scheduled maintenance is typically performed during low-traffic hours and announced in advance via in-app notification or email.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.
Intake does not warrant that the Service will meet all your requirements, be uninterrupted or error-free, or that defects will be corrected. You assume responsibility for selecting the Service to achieve your intended results, and for the results obtained from your use.
TO THE FULLEST EXTENT PERMITTED BY LAW, INTAKE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL INTAKE TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID INTAKE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow limitations on certain warranties or liabilities, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Intake and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys fees) arising out of: (a) your use of the Service in violation of these Terms or applicable law; (b) Your Content, including any claim that Your Content infringes a third party rights; or (c) your violation of the Acceptable Use Policy.
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles. Subject to the arbitration provisions below, any dispute that proceeds to court shall be brought exclusively in the state or federal courts located in Spokane County, Washington, and you consent to the personal jurisdiction of those courts.
PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights.
You and Intake agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, except that either party may seek injunctive or equitable relief in court for intellectual property infringement, and either party may bring a claim in small-claims court if the dispute qualifies.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Spokane County, Washington, or by video conference. The arbitrator award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND INTAKE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person claims or preside over any form of representative proceeding.
You have the right to opt out of this arbitration provision within 30 days of first agreeing to these Terms by sending written notice to legal@intake.works with the subject line "Arbitration Opt-Out." Opting out does not affect any other terms.
You may terminate your account at any time by canceling your subscription and following the deletion process in your account settings.
We may suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law, or if continued provision of the Service would expose Intake to legal liability or material risk.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
We may update these Terms from time to time. For material changes, we will provide at least 30 days advance notice via email to the address associated with your account or via in-app notification. For non-material changes (typos, clarifications, formatting), we may update the posted version without advance notice. Continued use of the Service after changes take effect constitutes acceptance.
These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Intake regarding the Service and supersede any prior agreements.
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No waiver of any term shall be deemed a further or continuing waiver. You may not assign these Terms without our prior written consent. We may assign these Terms to any successor by operation of law or in connection with a merger, acquisition, or sale of assets.
